In California, an LLC can be operated by one person as long as
the business is not the practice of law, accountancy or architecture.
A limited liability partnership consisting of two or more is required
for these professionals. Any business requiring a professional license
pursuant to the Business & Professions Code, the Chiropractic
Act, or the Osteopathic Act, is prohibited from operating as a limited
liability company or partnership unless the licensing board approves
of operation as a limited liability company. The best thing to do
is to contact the board that licenses your profession and ask them
if they authorize their licensees to practice as limited liability
companies.
The Secretary of State for most states also has invaluable information
relating to LLC requirements on their web sites. Go to your favorite
search engine and search for Secretary of State of (your state).
